Terms of Service

These Terms of Service ("Terms") govern your use of Venturly, operated by FORATY LLC ("FORATY", "we", "us"), a limited liability company organized in the State of Michigan, USA. By creating an account or using Venturly, you agree to these Terms.

The service

Venturly is an invoicing and billing platform that lets businesses create and manage invoices and lets their clients view and pay them. FORATY provides the software; FORATY is not a party to the invoices, agreements, or payments between a business and its clients.

Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. You must be at least 18 years old and able to form a binding contract to use Venturly.

Acceptable use

You agree not to use Venturly for any unlawful, fraudulent, or abusive purpose; not to upload content that infringes others' rights; and not to attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or its data.

Your content

You retain ownership of the business and invoicing data you enter. You grant FORATY the limited rights needed to host, process, and display that data in order to provide the service to you.

Payments

Online card payments are processed by Stripe and are subject to Stripe's own terms. FORATY does not hold your funds. Any fees for use of Venturly will be disclosed to you before they apply.

Availability — no service-level guarantee

Venturly is provided on an "as available", best-effort basis. We do not guarantee any particular level of uptime or availability, and we do not promise that the service will be uninterrupted, timely, secure, or error-free. There is no service-level agreement (SLA). We may modify, suspend, or discontinue all or part of the service at any time.

Disclaimer and limitation of liability

To the fullest extent permitted by law, Venturly is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, FORATY LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the service.

Termination

You may stop using Venturly and close your account at any time. We may suspend or terminate access if these Terms are violated or as needed to protect the service or other users.

Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of Venturly after a change means you accept the updated Terms.
